These Terms of Service ("Terms") govern your use of the Cleftwave Audio Ltd website (cleftwave-audio.co.uk) and the professional services provided by Cleftwave Audio Ltd ("we", "us", "our"), a company registered in England and Wales.

2. Services

Cleftwave Audio Ltd provides professional audio engineering, sound design, music production, mixing, and related services. The specific scope, deliverables, timeline, and fees for any project will be agreed in writing via a separate project agreement or statement of work prior to commencement.

We reserve the right to decline any project at our discretion.

3. Intellectual Property

All content on this website — including text, images, design, and code — is the property of Cleftwave Audio Ltd or its licensors and is protected by applicable copyright and intellectual property laws.

Intellectual property rights in project deliverables are governed by the individual project agreement. Unless otherwise agreed in writing, full ownership of deliverables transfers to the client upon receipt of final payment.

We retain the right to reference completed projects (without disclosing confidential information) for the purposes of our portfolio, unless the client specifies otherwise in writing.

4. Payment Terms

Payment terms are defined per project agreement. Unless otherwise agreed:

  • A deposit of 50% of the agreed fee is required before work commences
  • The remaining balance is due upon delivery of final files
  • Late payment may incur interest in accordance with the Late Payment of Commercial Debts Act 1998
  • Invoices are issued in GBP (£)

5. Revisions

Each project includes a defined number of revision rounds as specified in the project agreement. Revisions are in-scope changes to the agreed deliverable. Changes to the original brief or additional rounds of revision are subject to additional fees.

6. Confidentiality

We treat all project information provided by clients as confidential. We will not disclose project details, briefs, or client information to third parties without written consent, except where required by law.

7. Limitation of Liability

To the fullest extent permitted by law, Cleftwave Audio Ltd shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services or website.

Our total liability for any claim arising from a project shall not exceed the total fees paid by the client for that project.

8. Website Use

You may use this website for lawful purposes only. You must not use this website in any way that breaches applicable law, is fraudulent, or transmits unsolicited commercial communications.

We make no warranty that this website will be available uninterrupted or error-free.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We reserve the right to update these Terms at any time. The "last updated" date will reflect changes. Continued use of this website or our services constitutes acceptance of the updated Terms.
